Collaboration, Sharing and Mutual Respect
OWL Suites (“OWLS”) is, first and foremost, a professional network committed to creating and secure place to for its independent attorney members to work and network. While we want our community to be open, fun, energizing, and collaborative, we also want it to be professional for our members (herein, “you” or “Member”). Membership is exclusive, by invitation only and is limited to a small number of people. As such, OWLS reserves the right to admit or deny membership to any person for any reason, at OWLS’s discretion. – but we won’t do so in violation of law.
By joining OWLS and participating in any OWLS programs or using any OWLS Host Location facilities (“HL”), you agree to be bound and governed by these OWLS Community Rules, as well as any rules of the HL, and the HL’s landlord, which are incorporated by reference as if restated in full herein, and all policies and other requirements and rules of OWLS (collectively, all the aforementioned are the “Rules”). Violation of ANY of the Rules is subject to disciplinary action, including, at OWLS’s discretion, censure or removal from an event or the facility, as well as termination of your Membership for cause.
The single biggest benefit of OWLS Membership is access to your fellow Members and non-member attorney colleagues who also use the HL (collectively all Members and non-member HL attorneys are referred to herein as, “Suitemates”). We absolutely encourage OWLS Members to make connections, collaborate on projects, share ideas, provide advice, and generally make cool stuff happen. However, Members may NOT spend their days directly soliciting other Suitemates. It’s just annoying and will probably result in termination of your Membership.
USE OF HL
Members will not give access to any HL to non-Members, other than clients and guests meeting with the Member for the day. Every person using OWLS services and facilities must be a Member in good standing (i.e., dues paid and Membership current). Exceptions: non-Members can use OWLS if they are meeting OWLS Members for business-related meetings or if a guest of OWLS. Members are absolutely accountable for the conduct of themselves and their guests.
If you work or meet people at an HL, you agree to keep your workspace and meeting space clean and orderly. You will remove all trash and boxes from your workspace or common space. OWLS is for work, learning, networking and meetings – not storage (except for private offices, of course).
Without limiting the above, you agree not to use OWLS for any purpose that is unlawful, prohibited, or that could damage, disable or impair any of the OWLS Stuff, or keep other Members from using the OWLS Stuff, or that would hurt OWLS as an ongoing business or injure or impede your Suitemates. This also means you won’t attempt to gain access to any areas, offices, or computer systems or networks of His or OWLS (beyond general web access), or attempt to obtain any materials or information not intentionally made available to all OWLS Members. OWLS and the HL each reserve the right to admit, deny or terminate access to the HL or any OWLS Event by any person for any reason, at OWLS’s or HL’s discretion.
Access to rooms is one of the great benefits of OWLS Membership. Here’s some info regarding conference rooms:
- Your HL has a limited number of conference rooms and to ensure that rooms are always available Members must book conference rooms prior to use. There is no drop-in use of conference rooms.
- Conference rooms are like “HOV” lanes, and should only be used when 2 or more people are involved (e.g., 1 guest and 1 Member, etc.). They are not intended to be used as satellite offices by individual Members.
- Members may not transfer, assign, share, sell or donate your conference room time to non-members or outside groups cannot use the conference rooms unless the Member is present.
- Please clean up after using a conference room. If you re-arrange the furniture in the conference room, we expect that you will return it to the original set-up when you’re finished. Please erase the white boards, too! Your HL may assess the Member reserving the room a cleaning fee if forced to do your housekeeping and/or furniture moving.
Noise. We are all trying to get work done, so try to be mindful and respectful of others’ attention and time. Generally, if someone has their headphones on, please respect their privacy (that’s the most important rule we have). OWLS is not a library, and collaboration is encouraged, but this is a workplace, first and foremost. In all instances, please maintain a “library level” of quiet, so no music, video, speakerphone use in common areas or at sound levels where others can hear, and use “inside voices” in the space. Remember that, even if you are at an HL to socialize at any given time, some Suitemates may be trying to meet an important deadline or otherwise need to concentrate. If we are respectful and considerate, everyone wins.
Phone calls. Please refrain from taking/making phone calls in common areas of the HL. If you have a phone call and it will last just a minute or two, feel free to take it in the common areas. If you are going to be on the phone for more than that, please use your office, a conference room or leave the HL. Some exceptions can be made, such as for those working in support jobs, where an occasional and not very talkative phone call of a couple of minutes is necessary. We ask, however, that you keep your voice quiet, and, if you know that a call will persist for more than 5 minutes or be especially talkative, you take the call into a private room. In other words, please be cognizant of the other Suitemates and the purpose of OWLS when making phone calls.
Office Equipment. Some OWLS members have privileges that allow us of office equipment, kitchens, furniture, kitchen items, supplies, and other resources available at the HL (collectively, “HL Stuff”) are the property of the HL. HL Stuff is to be used only for its intended purposes and in connection with the typical daily office needs of Members and Suitemates. Please do not mistreat, damage, or monopolize HL Stuff. For example, large copy jobs should be outsourced, rather than processed on the HL copier. HLs may charge Members for excessive use of supplies or equipment. Bear in mind that the space only works if all Members are reasonable, professional, and respectful of others and OWLS equipment. Misuse or damage to any HL Stuff can result in termination of Members, and personal liability for damage.
Supplies. If you are permitted access to office supplies, please do not stock your home office with HL supplies or otherwise overuse or waste supplies. Please help keep costs down by using supplies only as needed.
Harassment. We have zero tolerance for harassing Suitemates or guests of His or OWLS. Members or guests violating this policy will be sanctioned or expelled from the space, event, or lose their Membership, at the discretion of OWLS and/or the HL.
Guests. Feel free to invite friends or guests for lunch, a quick meeting, or just to say hello. Guests are required to adhere to these Rules. Both you and your guest are responsible for their compliance with these Rules. All guests are required to check-in at the HL reception desk and abide by all of the Rules and policies stated herein. Even if you have an office on another floor, please do not ask guests to go directly to those floors, and instead have them check in at reception. Members are responsible for all actions of their guests at the HL or OWLS event. Unattended guests are never to be allowed to wander around the HL. You are welcome to show guests around the HL, but please be considerate of your colleagues when you do.
Desk use. All common area tables and spaces at the HL, as well as all couches, tables, chairs, etc., may be available for your use. Unless you have a dedicated desk or office, please do not leave property on or around the desks or common areas except when you are working at the space. Take home what you bring in, and clean your workspace when you leave for the day. Every evening and/or morning the desks will be cleared of items, which will be deposited in a lost-and-found, and eventually donated to charity or thrown out.
Alcohol policy. Check with your HL regarding their alcohol policy. Assuming it is permitted, please drink responsibly. HL and OWLS do not tolerate intoxication at the HL. Be mindful, too, that your “quitting time” does not always match up with everybody else’s schedule. If OWLS or the HL makes alcoholic beverages available at a OWLS or HL event, each Member agrees that they are solely responsible for their consumption and the consumption of their guests. Neither OWLS nor the HL nor any affiliate or event sponsor or host will be liable under any Dram Shop or similar liability for over-serving or other damages related to such consumption.
Overnight use. We understand that some of our Members with 24/7 access may need to pull a late night of work every now and again. However, under no circumstances are Members or guests allowed to sleep in the space overnight allowed.
Heat & air conditioning. HL sets the heat and air conditioning on a schedule that makes sense for most people. If the heat or air conditioning do not seem to be working, please notify the HL. No fans or heaters are allowed absent prior written approval from the HL.
Locks. The doors are locked after hours and on weekends. Do not do anything to allow the doors to be unlocked for any notable length of time. If you believe the doors are not locked when you leave the space, it is your duty to notify the HL of the situation.
Dress Code. Business casual attire or above is required at the HL during business hours – but check with your HL for specific requirements. No shorts, flip-flops, ball caps, t-shirts or similar casual barbecue-wear, etc. during business hours. Bear in mind that the image of OWLS is one of professionalism. It benefits all Members to maintain this standard in all aspects including the way we dress. Violators will be asked to leave OWLS and not permitted to return until dressed appropriately – habitual violators can have their Membership terminated. Dress code rules are typically not in effect after hours or on weekends.
Prohibited Conduct. Without limiting the above, you also agree not to use OWLS, the HL, or OWLS Stuff in connection with:
- Contests, pyramid schemes, chain letters, junk email, spamming or similar annoying behavior; b. Defaming, abusing, harassing, threatening or otherwise violating the legal rights (such as privacy and publicity) of others;
- Posting, distributing or disseminating inappropriate, profane, defamatory, obscene, indecent, or unlawful material or information;
- Uploading, reproducing, using, performing or otherwise making available, images, software or other material or information which infringes another’s rights, or is protected by intellectual property laws where you don’t own or license such rights; and
- Uploading or using files that contain viruses, corrupted files, or any other similar software or programs that may damage the computers or property of OWLS or another Member.
Pets. No pets at the HL, except for your own service animal.
Smoking. No smoking at the HL.
Children. Except for certain events, we discourage (though don’t prohibit) Members from bringing their children to the HL. If you do bring your children to the HL, please be respectful of your Suitemates, and know that all Guest rules will be applicable to your children, as well. Children are not allowed to roam the HL, and cannot be left unattended at any time.
Photography. Please don’t photograph the HL or any Suitemates or guests absent specific permission. And don’t post any photos of OWLS or HL events, Members or guests absent express permission. We are trying to create a safe, comfortable, professional and secure place for all Suitemates to work and network. However, by using OWLS, you grant OWLS, the HL, and their respective agents permission to use your image and likeness for OWLS’s business purposes. You can trust that we will be respectful of your professional image and reputation. That said, if you ever have a problem with an image of yourself that we are using, let us know and we’ll remove it as soon as reasonably possible.
Directories. To facilitate networking and development of the OWLS Member community, Members may, at their discretion, elect to be listed on an external directory that will allow OWLS and other Members to refer potential clients to the Members. Placement on the list is subject to the discretion and protocols of OWLS, and OWLS is not responsible for any referrals made or not made. OWLS does not charge to be a part of any directory, and takes no fees for making referrals.
Security. All Members and guests are responsible for their own belongings and actions. Neither OWLS nor the HL are renting office space. Nevertheless, you are not required, but it is strongly recommended that you carry a Renters’ Insurance policy to cover your own equipment while using OWLS. OWLS strictly prohibits firearms, weapons, drugs, etc. on the HL premises.
Internet Access. HL may provides some Member with access to the HL Internet network (“Network”), via hard wire or wireless, as part of their Membership. Each Member agrees only to use this access for Member’s law firm business purposes, and to not use or attempt to use or access the Network for any illegal purposes or activity, top violate the rights (IP or other) of anyone, or that damages or overwhelms the Network Although the HL strives to provide maximum Network uptime, access to the HL Network is not guaranteed, nor is it guaranteed to be free from hacks or other security threats – USE AT YOUR OWN RISK. Neither OWLS nor HL is responsible for any hacks, slow speeds, downtime, viruses, or other damage to Member or guest computers, phone, tablets or other devices or systems that is caused by their access to or use of the Network.
OWLS Events. All OWLS events, including those hosted by others and/or held at locations other than OWLS, are subject to these Community Rules. If you want to hold an event at your HL, please talk to the friendly HL staff to discuss scheduling, guest policy, insurance requirements, and fees.
Personal Items. Neither OWLS nor the HL is responsible for any lost or stolen property. Remove your items when you leave for the day. Any items left in common areas of HL behind will be place in a lost-and-found for a little while (no more than 30 days), and then tossed out, sold, or donated to charity (OWLS”s discretion).
Kitchen/Beverage Stations. If you have kitchen access, please label (with your name and date) anything you put in the fridge. The fridge will be cleaned out on a weekly basis (Friday afternoon/evening), and anything that is over a week old, expired, or looks/smells disgusting will be thrown away. Any beverages supplied by the HL are for the use of HL Suitemates and guests while at OWLS. Please do not misuse access to the beverage stations or this privilege. If assistance is needed (i.e., not working, out of supplies, etc.), please do not attempt to resolve, yourself. Instead, bring the matter to the attention of the HL staff, who will resolve ASAP.
Self Regulation. Please help us ensure the safety, cleanliness, and happiness of the space. Don’t do anything that compromises the security of the space, like propping open a door, giving someone your password, key, keycard/fob or code, or letting someone in the space unless they are a Member or an accompanied guest. If you have a problem with a Member’s behavior, contact us.
Confidential Information. OWLS Members are also reminded that fellow Members and Suitemates are attorneys and will have confidential client materials and information. Each Member must be mindful of their own, as well as all others’, ethical responsibilities with respect to such materials.
Complaints. Please don’t make false, defamatory or disparaging comments about OWLS or Suitemates. Frankly, if you don’t have anything good to say, then keep it to yourself or let us know about it. We can probably fix it or at least talk about it. This goes for posts on social media, too. Violation of this request can result in termination of Membership for Cause.
Liability. Neither OWLS nor the HL will assume any liability to you with respect to your access to, participation in, use of OWLS, the HL, or OWLS Services, or any loss of information or other property resulting from such participation or use. Basically, if you leave stuff here and it disappears, we are not liable (but we will certainly look into how it happened and work to prevent such losses). Neither OWLS nor HL will assume liability for damages or injuries to property, you or your clients, guests, or other parties that Members may invite to the OWLS space. We would be glad to put you in touch with our insurance agent about a general liability policy, if this is of particular concern.
Disclaimer. OWLS PROVIDES MARKETING AND ADMINISTRATIVE SERVICES ONLY. ALL OWLS SERVICES ARE PROVIDED ON AN “AS IS” BASIS AS A SERVICE AND NOT AS A LEASE OF REAL PROPERTY, AND DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, TO THE EXTENT PERMITTED BY LAW. THERE IS ALSO NO WARRANTY OF TITLE, QUIET ENJOYMENT OR POSSESSION. THE ENTIRE RISK OF PARTICIPATING IN OR USING OWLS REMAINS WITH YOU. IN NO EVENT SHALL OWLS OR ITS AGENTS, OWNERS, MEMBERS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, CONSEQUENTIAL OR OTHER DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, FAILURE TO MEET ANY DUTY (INCLUDING OF GOOD FAITH OR OF REASONABLE CARE), NEGLIGENCE, AND ANY OTHER LOSS) ARISING OUT OF OR IN ANY WAY RELATED TO OWLS OR YOUR USE OF THE OWLS SPACE OR PROGRAMS, TO THE EXTENT PERMITTED BY LAW.
Changes. We will do our best to notify Members of changes to the Rules. We will strive to keep an up-to-date copy of this agreement on OWLS’s website and/or Server. Any changes are binding on Members 2 days after they are posted to the web site or emailed to Members.
Termination. Violation of these Rules or any other OWLS rules or policies could lead to termination of your OWLS Membership for “Cause”. OWLS has absolute discretion to determine “Cause”, and will terminate any Member who, in OWLS’s opinion, is violating the letter or spirit of these Rules or any other policies of OWLS, the HL, or the HL’s landlord “for Cause”. If OWLS terminates a contract “for Cause”, the Member’s contract will be deemed breached by such Member, and all consequences related thereto shall become effective.
